ABM Investama (ABMM) Acquires Coal Company US$57 Million


Jakarta, - PT ABM Investama Tbk (ABMM) through its subsidiary will acquire the shares of PT Piranti Jaya Utama worth US$57 million or equivalent to Rp939.36 billion (exchange rate of Rp16,480 per US dollar).  

Hans Manoe, Corporate Secretary of ABM Investama, said that the acquisition transaction was carried out by its subsidiary PT Reswara Minergi Hartama (RWA). 

 On 3 March 2025, he continued, Reswara Minergi Hartama signed a share purchase binding agreement (PPJB) for shares in PT Piranti Jaya Utama (PJU). 

 The acquisition agreement consists of two transactions. Firstly, Reswara Minergi Hartama has signed a PPJB with PT Tuah Turangga Agung (TTA) for the purchase of 100% of TTA's shareholding in PT Borneo Berkat Makmur (BBM). TTA is a subsidiary of PT United Tractors Tbk (UNTR). Meanwhile, BMM owns 60% of Piranti Jaya Utama shares directly.

Secondly, Reswara Minergi Hartama has signed a PPJB with Borneo Prima Pte Ltd, Edward Sumarli and Herry Hermawanto for their share ownership in PT Borneo Berkat Sentosa (BBS). Meanwhile, BBS is a direct shareholder of Piranti Jaya Utama with a 40% stake. 

After the signing, Hans explained that the parties are obliged to fulfil the conditions precedents in the PPJB. Once fulfilled, the signing of the sale and purchase deed is planned for the second quarter of 2025 or at another time agreed by Tuah Turangga Agung and Reswara Minergi Hartama. 

‘The signing of the PPJB is the company's effort to increase its portfolio of fully-owned coal reserves. The sale and purchase of shares will be carried out after all the provisions in the PPJB are fulfilled by the parties,’ Hans explained in an information disclosure on Tuesday (4/3/2025).  

Separately, United Tractors Corporate Secretary Sara K. Loebis said the total value of the divestment transaction by Tuah Turangga Agung was US$34.2 million. 

‘The purpose of this transaction is to streamline the Company's coal mining business line in order to run a focused, effective and optimal operating process,’ she said.
